Beta Terms

These terms are an agreement between Stemco LLC (“we”, “us”), which operates Winery OS, and the winery that signs up (“you”). The person who accepts them does so on the winery’s behalf and confirms they are authorised to.

1. This is a beta

Winery OS is pre-release software, offered to a small number of invited wineries so it can be shaped by real use. Features will change, some may be added or removed, and there will be mistakes. We will tell you about significant changes. We do not promise any particular availability or response time during the beta, though we monitor the service around the clock and aim to fix problems quickly.

2. Price

The beta is free. If we introduce paid plans, we will give you at least 30 days’ notice before any charge, nothing will be charged without your explicit agreement, and you will be able to export your records and leave before then.

3. Your records are yours

You own everything you enter into Winery OS. You give us permission to store, process and display it only as needed to run the service for you. We do not sell it, and we do not share it with other wineries. How we handle it is set out in the Privacy Statement.

An owner or administrator can download the winery’s complete record at any time from Settings. We back up the service every night, including to a separate provider, but we encourage you to keep your own export as well — particularly before any filing deadline.

4. Compliance is your responsibility

Winery OS calculates figures such as gallonage, bond balances, removals by tax class and figures used in TTB and state reports from the records you and your crew enter. Those figures are only as accurate as those records, and software can be wrong. You are responsible for checking every figure before you rely on it, and for everything your winery files with the Alcohol and Tobacco Tax and Trade Bureau or any state agency, including its accuracy, timeliness, and any tax, penalty or interest that results.

The AI features (the copilot and label reading) can misread, misunderstand or be wrong. The copilot asks you to confirm before it moves wine or records an addition. When you ask it to log a reading, a sample or a task, it records it straight away and tells you what it recorded. Check what the AI proposes before you confirm it, and check what it records afterwards.

5. Your users

You decide who in your winery gets access and what each person can do. You are responsible for the people you add, for making sure they follow the Acceptable Use Policy, and for removing access when someone leaves. Keep passwords private, and tell us promptly at [email protected] if you think an account has been misused.

6. Feedback

The point of the beta is to hear what works and what does not. If you send us suggestions, we may use them to improve Winery OS without owing you anything for them.

7. Ending the beta or your participation

You can stop using Winery OS at any time. We can end your participation, or the beta itself, with 30 days’ notice — or immediately if an account breaches the Acceptable Use Policy or puts the service or other wineries at risk. Either way you will have at least 30 days to export your records, except where immediate action is needed to protect the service or other wineries. After that we delete them, as described in the Privacy Statement.

8. No warranty

Because this is a free beta, Winery OS is provided “as is” and “as available”. To the fullest extent the law allows, we make no warranties, express or implied, including of merchantability, fitness for a particular purpose, accuracy or non-infringement.

9. Limits on liability

To the fullest extent the law allows, neither of us is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, and our total liability arising from Winery OS or these terms is limited to one hundred US dollars (US$100). Nothing in these terms limits liability that cannot be limited by law.

10. Changes to these terms

We may update these terms. We will tell you by email or in the app before a change takes effect, and the version date above will change. If you continue using Winery OS after a change takes effect, the updated terms apply.

11. Governing law

These terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws rules, and any dispute will be heard in the state or federal courts located in Missouri.
